Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website located at brandflazh.com and the digital advertising services provided by BrandFlazh ("we", "our", "us"), a Digital Ad Agency specialising in Google Ads and Meta Ads for Home Improvement and Interior Design businesses across India. By accessing our website, submitting an enquiry, or engaging BrandFlazh for any service, you ("client", "you", "your") confirm that you have read, understood, and agree to be legally bound by these Terms in their entirety.
If you do not agree with any part of these Terms, you must immediately discontinue use of our website and refrain from engaging our services. BrandFlazh reserves the right to update or modify these Terms at any time without prior notice. Continued use of our website or services following any such changes constitutes your acceptance of the revised Terms.
Services Provided
BrandFlazh provides digital advertising management services including but not limited to Google Ads campaign setup and management, keyword research and strategy, ad copywriting, conversion tracking setup, campaign optimisation, competitor analysis, and monthly performance reporting. Additional services including landing page consulting, Google Tag Manager setup, and Meta Ads management may be offered subject to separate agreement and pricing.
All services are delivered in accordance with the scope, deliverables, and pricing agreed upon in the service proposal or client agreement signed by both parties. BrandFlazh reserves the right to modify, expand, or discontinue any service offering at any time. Any changes to the scope of services already under contract will be communicated to the client in writing and will require mutual agreement before implementation.
BrandFlazh operates exclusively as a digital advertising management agency. We do not provide website development, search engine optimisation, social media management, graphic design, or content creation as part of our core service offering unless explicitly stated in a signed service agreement.
Client Responsibilities
By engaging BrandFlazh, you agree to fulfil the following responsibilities throughout the duration of our working relationship. You agree to provide accurate, complete, and up-to-date information about your business, target market, services, and advertising goals during the onboarding process and at any point during the engagement when requested. You agree to provide timely access to your Google Ads account, Google Analytics account, website, and any other platforms necessary for BrandFlazh to deliver the agreed services. You agree to review and approve all ad copies, campaign structures, and strategies submitted by BrandFlazh within 48 hours of submission. Delays in approval may result in delayed campaign launch or performance impact, for which BrandFlazh accepts no responsibility.
You acknowledge and agree that the advertising budget paid directly to Google or Meta is entirely your responsibility. BrandFlazh does not collect, hold, manage, or distribute any advertising spend on your behalf. You are solely responsible for maintaining sufficient funds in your Google Ads or Meta Ads account to ensure uninterrupted campaign delivery. You agree to maintain responsive communication with BrandFlazh, responding to messages, requests, and reports within 48 business hours. You agree to provide honest and constructive feedback on campaign performance and lead quality to enable BrandFlazh to make informed optimisation decisions.
Ad Spend and Billing
BrandFlazh charges a monthly management fee for the services rendered. This fee covers the planning, setup, management, optimisation, and reporting of your digital advertising campaigns. The management fee is entirely separate from your advertising budget and does not include any portion of money paid to Google or Meta for ad delivery.
You are required to pay 100% of the monthly management fee in advance before any campaign work commences or continues into a new billing period. Invoices are issued on the first day of each month and are due for payment by the fifth of the same month. BrandFlazh reserves the right to pause or suspend all active campaigns if payment is not received by the seventh day of the month. BrandFlazh accepts no liability for any loss of leads, business, or revenue resulting from campaign suspension due to non-payment.
All fees are quoted and charged in Indian Rupees. BrandFlazh reserves the right to revise its pricing with a minimum of 30 days written notice to the client. Continued engagement of services following a price revision constitutes acceptance of the new pricing.
One-time setup fees, including but not limited to Google Ads account setup, Google Tag Manager setup, and landing page consulting, are charged separately from the monthly management fee and are due in full before the relevant work commences. One-time setup fees are non-refundable once work has begun.
Refund Policy
BrandFlazh operates a strict no-refund policy on management fees once work has commenced for a billing period. Given the nature of digital advertising services, time and resources are invested from the moment a campaign is live or scheduled for launch. As such, management fees paid for any given month are non-refundable regardless of campaign performance, lead volume, or client satisfaction.
In the event that BrandFlazh is unable to deliver services due to circumstances within our control, a pro-rated credit may be issued at our sole discretion. One-time setup fees are non-refundable once work has commenced. Advertising spend paid directly to Google or Meta is governed by their respective refund policies and is entirely outside the control and responsibility of BrandFlazh.
Campaign Performance and Results
BrandFlazh is committed to delivering high-quality, performance-focused digital advertising campaigns. However, it is important that all clients understand the inherent nature of digital advertising before engaging our services.
BrandFlazh does not guarantee any specific number of leads, calls, conversions, or return on investment from any campaign. Digital advertising performance is influenced by a wide range of factors outside our control, including but not limited to market competition, seasonal demand fluctuations, search volume, ad budget levels, landing page quality, business response times, product or service pricing, and changes to Google or Meta platform algorithms and policies.
BrandFlazh commits to applying professional expertise, industry best practices, and continuous optimisation efforts to maximise the performance of your campaigns within the available budget and market conditions. Results typically improve over the first 60 to 90 days as campaigns are optimised based on performance data. Clients are advised to approach digital advertising with a medium to long-term perspective.
Minimum Engagement Period
All service packages offered by BrandFlazh carry a minimum engagement period of three consecutive months. This minimum period exists because digital advertising campaigns require sufficient time to gather data, optimise performance, and deliver meaningful results. Cancellations or terminations requested within the first three months will still require full payment of the remaining months within the minimum period.
Termination and Cancellation
Either party may terminate the service engagement by providing a minimum of 30 days written notice to the other party. Notice must be submitted in writing via email to info@brandflazh.com. Verbal cancellations or cancellations communicated through any other channel will not be considered valid.
During the 30-day notice period, BrandFlazh will continue to manage campaigns and the client will remain liable for all management fees due within that period. Upon completion of the notice period, BrandFlazh will transfer all campaign assets, data, and account access back to the client in an orderly manner.
BrandFlazh reserves the right to terminate a client engagement immediately and without prior notice in the following circumstances: non-payment of management fees beyond the grace period, repeated failure to fulfil client responsibilities, abusive, threatening, or disrespectful communication directed at BrandFlazh, requests to run advertisements that violate Google Ads policies, Meta Ads policies, or applicable laws and regulations, or any conduct that BrandFlazh reasonably determines to be damaging to its reputation or business interests.
Intellectual Property
All campaign strategies, ad copies, keyword lists, account structures, bidding strategies, and other work product created by BrandFlazh in the course of delivering services remain the intellectual property of BrandFlazh until all outstanding fees have been paid in full. Upon full payment and termination of the engagement, the client is granted ownership of all campaign data and advertising account history associated with their business.
BrandFlazh retains the right to reference the nature of services provided and general campaign outcomes as anonymised case studies or portfolio examples without disclosing any confidential client information. BrandFlazh will not publicly identify any client by name without obtaining prior written consent.
Confidentiality
Both BrandFlazh and the client agree to treat all shared business information as strictly confidential. BrandFlazh agrees not to disclose, share, or use any client business information, campaign data, pricing, strategies, or trade secrets for any purpose other than delivering the agreed services. The client agrees not to share, reproduce, or distribute BrandFlazh's strategies, proposals, reports, pricing structures, or methodologies with any third party, including competitor agencies.
This confidentiality obligation survives the termination of the service engagement and remains in force indefinitely unless both parties agree otherwise in writing.
Limitation of Liability
To the fullest extent permitted by applicable law, BrandFlazh shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to loss of revenue, loss of profit, loss of data, loss of business opportunity, or business interruption, even if BrandFlazh has been advised of the possibility of such damages.
BrandFlazh's total cumulative liability to you for any claim arising from or related to our services shall not exceed the total management fees paid by you to BrandFlazh in the three months immediately preceding the event giving rise to the claim. BrandFlazh is not responsible for any loss or damage resulting from changes to Google Ads or Meta Ads platform policies, algorithm updates, account suspensions by Google or Meta, or any circumstances outside our direct control.
Indemnification
You agree to indemnify, defend, and hold harmless BrandFlazh, its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services, your breach of these Terms, your violation of any applicable law or regulation, or any content, products, or services offered by your business that are advertised through our campaigns.
Third Party Platforms and Policies
BrandFlazh manages advertising campaigns on third party platforms including Google Ads and Meta Ads. These platforms operate under their own terms of service, advertising policies, and community standards, which are subject to change at any time without notice. BrandFlazh accepts no liability for changes to third party platform policies that impact campaign delivery, account status, or advertising performance.
The client is responsible for ensuring that their business, products, services, and advertising content comply with all applicable platform policies and legal requirements. BrandFlazh reserves the right to refuse to create or publish any advertisement that we reasonably believe violates platform policies, applicable laws, or ethical standards, without liability to the client.
Dispute Resolution
In the event of any dispute, disagreement, or claim arising out of or in connection with these Terms or the services provided by BrandFlazh, both parties agree to first attempt to resolve the matter through good faith direct communication. Either party may initiate this process by sending a written notice of the dispute to the other party.
If the dispute is not resolved within 30 days of the written notice, both parties agree to pursue resolution through appropriate legal channels. These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. Both parties consent to the exclusive jurisdiction of the competent courts of India for the resolution of any disputes that cannot be settled amicably.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity or unenforceability of any single provision.
Entire Agreement
These Terms, together with any signed service proposal or client agreement, constitute the entire agreement between BrandFlazh and the client with respect to the subject matter herein and supersede all prior negotiations, representations, warranties, understandings, or agreements, whether written or oral, relating to such subject matter.
Changes to These Terms
BrandFlazh reserves the right to revise these Terms at any time by updating this page. The revised Terms will be effective immediately upon posting. It is your responsibility to review these Terms periodically. Your continued use of our website or services following any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of our website and services immediately.
